This Public Offer Agreement (hereinafter — the "Offer") governs the terms for providing paid digital services of the online service OnlineSignatures.net (hereinafter — the "Service").

The Service operator offers users the opportunity to purchase access to additional functions, subscriptions and the API in accordance with the tariffs published on the site.

This Offer applies together with the Terms of Use, the Privacy Policy, and the Refund Policy.

General provisions

1.1. This document is a public offer to conclude a contract for the provision of digital services in accordance with applicable law.

1.2. The Offer applies to users purchasing paid OnlineSignatures functions.

1.3. The terms of a specific tariff plan, including its cost, validity period, available functions and limits, are indicated on the relevant tariff page and/or the checkout page.

1.4. Before making a payment, the user has the opportunity to review:

  • the name of the chosen tariff;
  • the cost;
  • the access period;
  • the available functions;
  • the limits;
  • the automatic-renewal terms, if applicable;
  • the refund terms;
  • this Offer;
  • the Privacy Policy;
  • the Terms of Use.

Terms and definitions

Service — the OnlineSignatures.net software online service.

User — an individual or legal entity using the Service.

Paid tariff — a tariff providing access to additional functions of the Service for an established fee.

Subscription — the provision of access to a paid tariff for a certain period, with the possibility of automatic renewal, if such a function is provided by the tariff.

API — the OnlineSignatures software interface, provided to users in accordance with the terms of the relevant API tariff.

Limit — the established number of requests, operations, or other resources available within the relevant tariff period.

Billing period — the period for which the user pays for access to the relevant tariff.

Payment provider — a third-party company through which the user's payment is processed.

Subject of the agreement

3.1. OnlineSignatures provides the user with access to paid functions of the Service in accordance with the chosen tariff plan.

3.2. The specific set of functions is determined by the tariff chosen by the user at the time of checkout.

3.3. Paid functions may include, depending on the chosen tariff:

  • advanced signature-creation functions;
  • document processing;
  • document-signing functions;
  • additional document storage and sharing capabilities;
  • the API;
  • increased limits;
  • other functions specified on the relevant tariff page.

3.4. OnlineSignatures has the right to change the composition of future tariffs and functions, provided that such changes do not retroactively change an already-paid-for period, unless otherwise required by applicable law.

Conclusion of the agreement

4.1. The agreement is considered concluded once the user performs actions confirming acceptance of the Offer's terms and payment for the chosen paid tariff.

4.2. Such actions may include:

  • checking the corresponding consent box;
  • clicking the payment button;
  • completing the payment transaction;
  • other actions clearly indicating the user's agreement with the purchase terms.

4.3. Before payment, the user must have the opportunity to review this Offer and the Refund Policy.

4.4. Payment for the tariff means the user confirms that they have reviewed the characteristics of the chosen product, the cost, the access period, and the applicable terms.

Paid tariffs

5.1. Current tariffs, prices and limits are published on the OnlineSignatures website.

5.2. The cost is indicated in the currency shown on the tariff page or in the payment form.

5.3. The final cost of an order may vary depending on the user's country, applicable taxes, payment currency, and the payment provider's terms.

5.4. If applicable taxes are calculated and collected separately by the payment provider, the corresponding amount may be displayed during checkout.

Subscription and automatic renewal

6.1. If the tariff is subscription-based, access is provided for the corresponding billing period.

6.2. If automatic renewal is provided by the chosen tariff, the subscription automatically renews for the next similar period unless the user cancels it before the next billing date.

6.3. Upon automatic renewal, the user is charged the tariff cost in effect for the corresponding renewal, unless otherwise specified when setting up the subscription.

6.4. The user can cancel automatic renewal through the interface available in the Service or another provided method.

6.5. After automatic renewal is cancelled, access to paid functions continues until the end of the already-paid-for period, unless otherwise provided by applicable law or the terms of the relevant tariff.

API tariffs

7.1. The API is provided only to users with a corresponding active tariff.

7.2. Each API tariff may have a specific limit on requests or other operations.

7.3. The limit applies for the corresponding billing period, unless the tariff page expressly states otherwise.

7.4. An unused limit does not carry over to the next billing period, unless expressly provided by the tariff's terms.

7.5. Each API operation is counted in accordance with the API's technical rules. For example, if the tariff's terms treat one request as one operation, each successfully processed operation is counted as one used unit of the limit.

7.6. API access is considered to have started from the moment of:

  • activation of API access;
  • creation or activation of an API key;
  • or performance of the first API request,

whichever event occurs first.

7.7. The user is solely responsible for the use of the API key and for all operations performed using it, unless otherwise established by applicable law.

7.8. Upon reaching the established limit, API access may be automatically restricted until the start of the next billing period or until additional resources are purchased, if such a function is provided.

Use of paid resources

8.1. The user independently chooses a tariff in accordance with their anticipated needs.

8.2. Before payment, the user must review the restrictions established by the tariff and the available volume of resources.

8.3. Paid digital resources, including API requests, operations, limits, and other provided capabilities, are intended for use during the corresponding billing period.

8.4. The user's actual use of paid functions confirms the commencement of provision of the digital service.

8.5. If the user has substantially or fully used the paid resource, a subsequent request for a full refund of the cost may be declined in accordance with the Refund Policy and applicable law.

8.6. This provision does not limit mandatory consumer rights that cannot be excluded by contract.

Cost and payment

9.1. Payment is made in advance for the corresponding billing period.

9.2. Payment is processed through a payment provider.

9.3. OnlineSignatures does not store the user's full bank card data on its own servers.

9.4. Processing of payment data is also governed by the rules and policy of the relevant payment provider.

9.5. The user is obligated to provide accurate payment data and not to use a payment instrument without appropriate authorization.

Provision of access

10.1. After successful payment confirmation, the paid tariff is activated on the user's account.

10.2. Depending on the technical features of the payment system, activation may occur automatically upon receipt of payment confirmation.

10.3. If a payment is declined, cancelled, refunded, or disputed, access to the corresponding paid functions may be suspended or terminated.

10.4. In case of a technical activation delay, the user may contact support.

Refunds

11.1. The terms for refunding money are determined by a separate Refund Policy.

11.2. The user does not receive an automatic right to a full refund merely on the basis of having changed their mind after purchase, unless such a refund is provided by applicable law.

11.3. For digital services and the API, the moment the service's provision begins may be considered to be:

  • activation of paid access;
  • activation of the API;
  • creation of an API key;
  • performance of the first API request;
  • use of a paid function;
  • uploading or processing a document;
  • or another actual commencement of use of the digital service.

11.4. If the user has fully or substantially used the limit or other paid resources provided by the tariff, a refund of the full cost may be declined in cases permitted by applicable law.

11.5. A refund may be granted in full or in part in the event of a technical error, double charge, erroneous payment, or another confirmed problem on the part of the Service or the payment process.

11.6. If applicable law grants the user a mandatory right to a refund, such right is preserved regardless of the provisions of this section.

Subscription cancellation

12.1. Cancelling a subscription stops its further automatic renewal.

12.2. Cancelling a subscription does not in itself mean an automatic refund for the already-paid-for billing period.

12.3. Access to paid functions continues until the end of the paid-for period, unless otherwise provided by the Refund Policy or applicable law.

User responsibilities

The user is obligated to:

  • use the Service lawfully;
  • comply with this Offer;
  • comply with the Terms of Use;
  • ensure the security of their account;
  • protect their API key;
  • not transfer API access to unauthorized persons;
  • use only documents and materials they own or are permitted to use;
  • not use the Service for fraud or document forgery;
  • provide accurate payment data.

Electronic signature

OnlineSignatures provides tools for creating a graphic signature image and a simple electronic signature within the relevant functions of the Service.

OnlineSignatures is not a certification authority or a qualified trust service provider and does not guarantee legal recognition of the created signature in every country or for every type of document.

The user independently determines which type of electronic signature is required for a specific legal transaction.

Limitation of liability

To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis.

OnlineSignatures does not guarantee:

  • continuous availability of the Service;
  • the absence of technical errors;
  • continuous availability of the API;
  • compatibility with all programs and devices;
  • legal recognition of the created signature;
  • acceptance of the document by a third party;
  • the absence of temporary restrictions or maintenance.

Limitations of liability are further governed by the Terms of Use.

Nothing in this Offer excludes liability or mandatory rights that cannot be excluded or limited by applicable law.

Suspension of access

OnlineSignatures has the right to suspend or terminate the provision of paid functions if:

  • the user violates this Offer;
  • the user violates the Terms of Use;
  • fraudulent activity is detected;
  • the payment has been cancelled or disputed;
  • there is a security threat;
  • the user abuses the API;
  • this is required by law;
  • this is necessary to protect the Service or other users.

Changes to tariffs

OnlineSignatures has the right to change the cost and terms of future billing periods.

If the subscription price changes, the user must be notified in the manner prescribed by applicable law.

The user has the right to cancel automatic renewal before the new price takes effect if they do not agree with the change.

Intellectual property

All rights to the software, design, interface, code, databases, trade designations and other elements of OnlineSignatures belong to the relevant rights holders.

Payment for a subscription does not transfer to the user any ownership rights to the Service's software or infrastructure.

The user receives a limited right to use the functionality of the Service during the paid period in accordance with the chosen tariff.

User materials

Rights to the user's documents, signature images, and other materials remain with the user or the relevant rights holder.

The user grants OnlineSignatures only the processing rights necessary to provide the chosen service.

The user warrants that they hold the necessary rights and permissions to use the materials they submit.

Personal data

The processing of personal data is governed by OnlineSignatures' separate Privacy Policy.

The user confirms that they have reviewed the Privacy Policy prior to purchasing a paid service.

Changes to the Offer

OnlineSignatures has the right to amend this Offer.

The new version is published on the site with its effective date.

Changes apply to new purchases and future billing periods, unless otherwise provided by mandatory legal rules.

Applicable law

This Offer is governed by applicable law, taking into account the user's mandatory rights as a consumer, where such rights apply to the relevant purchase.

No provision of this Offer is intended to deprive the consumer of mandatory rights granted by the law of their country of residence.

Dispute resolution

The parties shall seek to resolve disputed issues by contacting support and through negotiations.

If a dispute cannot be resolved in this manner, it shall be resolved by a competent authority or court in accordance with applicable law.

The provisions of this section do not limit the consumer's mandatory right to apply to a competent court or government authority.
